Vendor Terms

1. Introduction These Vendor Terms & Conditions (“Agreement”) govern the relationship between SMS Bulk (“Company”) and any Vendor, Reseller, Partner, or Service Provider (“Vendor”) using or integrating with our WhatsApp marketing platform. By registering or partnering with SMS Bulk, the Vendor agrees to comply with these Terms. 2. Scope of Services Vendors may: Resell SMS Bulk services Use API integration Operate under white-label arrangements (if approved) Manage client campaigns through their vendor panel All activities must comply with WhatsApp Business policies and applicable laws. 3. Vendor Responsibilities The Vendor agrees to: Ensure all end-users provide valid opt-in consent Use the platform only for lawful business purposes Maintain accurate records of customer consent Comply with anti-spam, telecom, and data protection laws Not engage in misleading or deceptive marketing Vendors are fully responsible for the actions of their sub-clients. 4. Prohibited Activities Vendors must NOT: Send spam or unsolicited bulk messages Promote illegal, adult, gambling, financial scams, crypto fraud, or prohibited content Use scraped or purchased contact lists Bypass WhatsApp restrictions or automation safeguards Misrepresent SMS Bulk as WhatsApp or Meta Violation may result in immediate termination without notice. 5. Payment Terms Vendor pricing and margins will be agreed separately. All payments must be made in advance unless credit terms are formally approved. SMS Bulk reserves the right to modify pricing with prior notice. No refunds for used credits or terminated accounts due to violations. 6. Account Suspension & Compliance Monitoring SMS Bulk reserves the right to: Monitor message traffic and complaint rates Suspend vendor or sub-accounts with high spam complaints Terminate partnership for policy violations WhatsApp account bans due to vendor misuse are solely the vendor’s responsibility. 7. Data Protection & Confidentiality Vendors must: Keep all platform data confidential Protect client and user information Not share API credentials with unauthorized parties Any data breach must be reported immediately. 8. Intellectual Property All technology, branding, software, and systems remain the property of SMS Bulk. Vendors may not: Reverse engineer the platform Copy source code Rebrand without written authorization 9. Indemnification The Vendor agrees to indemnify and hold SMS Bulk harmless from: Legal claims arising from spam or unlawful messaging Regulatory penalties Customer complaints Misuse of data 10. Limitation of Liability SMS Bulk shall not be liable for: WhatsApp service interruptions Message delivery failures Meta/WhatsApp policy enforcement actions Indirect or consequential losses 11. Termination Either party may terminate the agreement with written notice. Immediate termination may occur if: Policies are violated Fraudulent activity is detected Regulatory risks arise No refund will be provided in case of termination due to violation. 12. Governing Law This Agreement shall be governed by the laws of [Insert Country/State], and disputes shall fall under the jurisdiction of [Insert City/State] courts. 13. Amendments SMS Bulk reserves the right to update these Vendor Terms at any time. Continued partnership constitutes acceptance of changes.
